Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of layer-analytics.com and the services and products offered by Layer Analytics (“we”, “us”). By using the site or purchasing from us, you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you are authorised to bind that organization.

2. Services & products

We provide analytics consulting and implementation services and self-serve digital products, as described on this site. Specific deliverables, timelines, and fees for engagements are defined in your individual order, proposal, or statement of work, which supplements these Terms.

3. Payments & subscriptions

Fees are as listed at the time of purchase and are charged through our payment processor. One-time purchases are billed immediately. Monthly retainers renew automatically each period until cancelled; you may cancel at any time to stop future renewals, effective at the end of the current period. You are responsible for any applicable taxes. Refunds are governed by our Refund Policy.

4. Licence to digital products

Digital products are licensed, not sold. Unless a product's included licence states otherwise, you receive a non-exclusive licence to use the product within a single organization for your own internal and client work. You may not resell, redistribute, sublicense, or publish the products themselves. Each product may include its own licence terms, which control where they differ from this section.

5. Acceptable use

You agree not to misuse the site or services, including by attempting to gain unauthorised access, interfering with normal operation, or using them for unlawful purposes. Accounts and files provided to you must be used in accordance with these Terms.

6. Client responsibilities

For engagements, you agree to provide timely access, information, and approvals needed to deliver the services. You retain ownership of your data and grant us the access necessary to perform the work.

7. Intellectual property

We retain all rights in our methods, templates, and pre-existing materials. You own your data and the custom deliverables produced for you under your agreement, subject to payment in full and to any third-party or licensed components they incorporate.

8. Disclaimers

The site, services, and products are provided on an “as is” and “as available” basis. We do not warrant any specific analytics, ranking, traffic, or revenue outcome, and to the fullest extent permitted by law we disclaim implied warranties of merchantability and fitness for a particular purpose.

9. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, or consequential damages, and our total aggregate liability arising out of or relating to these Terms is limited to the greater of the fees you paid us in the 12 months before the claim or USD 100.

10. Termination

Either party may terminate an engagement as described in the applicable agreement. Cancelled or past-due clients retain read-only access to previously delivered files but cannot start new work.

11. Governing law & changes

These Terms are governed by the laws of the United States, without regard to conflict-of-laws rules. We may update these Terms from time to time; material changes will be reflected by the “last updated” date above, and continued use after a change constitutes acceptance.
